These Terms of Service ("Terms") govern the commercial relationship between Pro Nova Technologies Inc. ("we", "us", "Provider") and the customer that licenses PNT Auto Glass Dispatch (the "Software", and together with any support and updates we provide, the "Services"). These Terms supplement the End User License Agreement ("EULA") and the Privacy Notice, which are incorporated by reference. By purchasing, installing, or using the Software you accept these Terms. -------------------------------------------------------------------------------- 1. THE SOFTWARE LICENSE -------------------------------------------------------------------------------- Your right to use the Software is granted under the EULA. The Software is self-hosted: it runs on infrastructure you own or control, and we do not host or operate it for you unless separately agreed in writing. -------------------------------------------------------------------------------- 2. ORDERS, FEES, AND PAYMENT -------------------------------------------------------------------------------- Fees, the licensed number of sites, and the license model (e.g., one-time license or subscription) are set out in your Order or invoice. Unless stated otherwise: fees are due [NET 30] from invoice, are non-refundable except as required by law, and are exclusive of taxes, which are your responsibility. SUPPORT AND UPDATES -------------------------------------------------------------------------------- [Describe what is included: e.g., email support at support@pronovatech.com during [business hours], and updates for the licensed version.] Support excludes issues caused by: your infrastructure or third-party services; modifications not made by us; use contrary to the Documentation; or factors outside our control. We may release updates from time to time but are not obligated to do so unless stated in your Order. -------------------------------------------------------------------------------- 4. YOUR RESPONSIBILITIES -------------------------------------------------------------------------------- You are responsible for: (a) providing and securing the servers, network, and operating environment for the Software; (b) installing updates and maintaining backups (the Software provides backup and restore tools, but operating them is your responsibility); (c) all user accounts, passwords, and access control in your deployment; (d) the accuracy, legality, and content of the data you enter; and (e) obtaining your customers' consents and complying with all laws that apply to your use, including privacy and marketing/messaging laws. -------------------------------------------------------------------------------- 5. ACCEPTABLE USE -------------------------------------------------------------------------------- You will not, and will not permit anyone to: (a) use the Software or its messaging features to send unlawful, harassing, deceptive, or unsolicited communications, or in violation of anti-spam, telemarketing, or consumer- protection laws; (b) use the Software for any unlawful purpose or to infringe others' rights; (c) upload malware or attempt to gain unauthorized access to any system; or (d) misrepresent your identity or the origin of communications sent through the Software. -------------------------------------------------------------------------------- 6. THIRD-PARTY SERVICES -------------------------------------------------------------------------------- The Software can integrate with third-party services, including a vehicle (VIN) lookup service, a mapping/geocoding service, and email (SMTP) and SMS (e.g., Twilio) providers that you configure with your own accounts. Those services are governed by their own terms and privacy policies, are not part of the Services, and we are not responsible for their availability, accuracy, or acts. You are responsible for your accounts with, and compliance with the terms of, those providers, and for any fees they charge. -------------------------------------------------------------------------------- 7. INTELLECTUAL PROPERTY; FEEDBACK -------------------------------------------------------------------------------- We and our licensors own the Software and all related intellectual property. You own your business data. If you give us feedback, we may use it freely. -------------------------------------------------------------------------------- 8. CONFIDENTIALITY -------------------------------------------------------------------------------- Each party will protect the other's non-public business or technical information disclosed in connection with the Services with the same care it uses for its own confidential information (and no less than reasonable care), and will use it only to perform under these Terms. This does not apply to information that is public, independently developed, or rightfully obtained from a third party. -------------------------------------------------------------------------------- 9. WARRANTY DISCLAIMER -------------------------------------------------------------------------------- THE SERVICES AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LIMITATION OF LIABILITY -------------------------------------------------------------------------------- OUR LIABILITY IS LIMITED AS SET OUT IN THE EULA, SECTION 11, WHICH IS INCORPORATED HERE. IN NO EVENT ARE WE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES, AND OUR TOTAL LIABILITY IS CAPPED AS STATED THERE. -------------------------------------------------------------------------------- 11. INDEMNIFICATION -------------------------------------------------------------------------------- You will defend, indemnify, and hold us harmless from third-party claims arising from your data, your use of the Services in breach of these Terms or law, or your communications with your customers, as further described in the EULA, Section 12. -------------------------------------------------------------------------------- 12. TERM; TERMINATION; SUSPENSION -------------------------------------------------------------------------------- These Terms apply while you use the Software. We may suspend or terminate the Services or license for material breach (including non-payment or prohibited use) that is not cured within [thirty (30) days] of notice, and immediately for unlawful use. On termination you must stop using and remove the Software. -------------------------------------------------------------------------------- 13. CHANGES TO THESE TERMS -------------------------------------------------------------------------------- We may update these Terms for new versions of the Software. The version accompanying your installed release governs that release. Material changes will be identified in the release notes or this document's version history. -------------------------------------------------------------------------------- 14. GOVERNING LAW; DISPUTES; MISCELLANEOUS -------------------------------------------------------------------------------- These Terms are governed by the laws of the State of [Idaho], USA, with venue in [___ County, Idaho], as further set out in the EULA, Section 14.
